1. What Nelum is, and what it is not

Nelum operates a marketplace facilitation service for the precious-metals trade, providing business verification (KYB) and representative identity (KYC) workflows, structured trade documentation, process orchestration across the trade lifecycle, and a secure communications and record-keeping environment between counterparties. Nelum is not a party to any transaction agreed on the platform.

Nelum does not buy, sell, own, take title to, take possession of, assay, transport, insure, or otherwise order in any commodity. It does not act as broker, agent, or trustee for any user, and it does not represent either counterparty in a negotiation.

Nelum is not authorised or regulated as a financial institution and provides no financial, investment, legal, or tax advice. Nothing on this platform constitutes a recommendation to enter into any transaction.

2. Nelum is not a party to your trade

Any Letter of Intent, Soft Corporate Offer, Sale and Purchase Agreement, or other instrument agreed through the platform is a contract between the counterparties alone. Nelum is not a party to it, is not bound by it, and assumes no obligation or liability under it.

Nelum does not warrant the existence, quantity, purity, provenance, or lawful origin of any commodity offered, nor the ability, willingness, or authority of any counterparty to perform. Each user remains solely responsible for its own due diligence on its counterparty and on the goods.

3. Settlement — non-custodial

Settlement is conducted directly between counterparties using non-administered escrow — funds move between wallets the counterparties themselves control. Nelum does not hold, control, custody, transmit, or have any power to move client funds or private keys at any time. Nelum's role in settlement is limited to read-only verification that a transfer the counterparties describe has occurred on-chain.

Users are solely responsible for the security of their own wallets, private keys, and credentials. A transfer to an incorrect, compromised, or fraudulent address is irreversible and is not recoverable by Nelum. Nelum cannot reverse, freeze, refund, or redirect any transfer.

Nelum's verification of an on-chain transfer confirms only that a transaction matching the parameters supplied by the counterparties appears on the relevant public ledger. It is not confirmation that the underlying commercial obligation has been discharged.

4. Charges

Nelum charges for access to the platform by way of a subscription to the company account, together with any seats subscribed for. Charges are set out in the platform and on the pricing page before you subscribe.

Nelum charges NO commission, brokerage, success fee or other remuneration calculated by reference to the value or volume of any trade. Nelum is not a party to your trade and receives nothing that depends on whether, or on what terms, it completes.

Fees for business verification and representative identity checks, where applicable, are charged separately, are charged for the performance of the check rather than its outcome, and are non-refundable once the check has been performed.

5. Eligibility, verification and your obligations

The platform is available only to businesses acting in the course of trade. You must be duly incorporated, authorised to transact in the commodities concerned, and represented by a person with authority to bind you.

You warrant, on registration and on each transaction, that: neither you, nor any of your beneficial owners, directors, or representatives, is subject to sanctions under any applicable regime; the funds you use are from a lawful source; the goods you offer are of lawful origin and lawfully exportable from their country of origin and importable into the destination; and you hold every licence and permit required.

You must provide accurate verification information and update it promptly when it changes. Submitting false or misleading information is a material breach of these terms.

6. Compliance, screening and suspension

Nelum applies anti-money-laundering, sanctions-screening, and responsible-sourcing controls modelled on financial-institution practice. These are voluntary standards adopted as a matter of policy; they do not constitute regulatory authorisation or supervision of Nelum by any authority.

We screen businesses, their beneficial owners, their representatives, and wallet addresses against applicable sanctions lists, and we re-screen on an ongoing basis. We may decline, suspend, or terminate access, block a transaction, or withhold a listing at our discretion where we consider it necessary to comply with law or to manage risk.

We may be prohibited by law from disclosing the reason for a particular decision, and in some circumstances from disclosing that a decision has been made at all. Where that is the case we will not do so, and no inference should be drawn from any such decision.

We retain verification records for the periods required by applicable anti-money-laundering law, which may be longer than the life of your account and may override a request for erasure. See our Privacy Notice.

7. Documents and records

The platform generates trade documents from the terms you supply. You are responsible for reviewing every document before signing it and for satisfying yourself that it reflects your agreement and complies with the law applicable to you. Nelum does not provide legal advice and templates are not a substitute for it.

Electronic signatures applied through the platform are intended to bind the signing party. You are responsible for ensuring that the individual signing has authority to do so.

8. Verification badges and credentials

A verification status shown on the platform records the checks Nelum has performed at a point in time. It is not a credit assessment, a guarantee of solvency or performance, an endorsement, and it does not guarantee the terms of any trade. You remain responsible for your own assessment of any counterparty.

9. Intellectual property

The platform, its software, and its content are the property of Nelum or its licensors and may not be copied, reproduced, or reverse engineered without permission.

Where you upload a company logo or other brand asset, you warrant that you own it or are licensed to use it, and you grant Nelum permission to display it on the platform for the purpose of identifying you to counterparties. We may decline or remove any asset.

10. Limitation of liability

To the fullest extent permitted by law, Nelum is not liable for loss of profit, loss of bargain, loss of goods, loss of funds transferred between counterparties, or any indirect or consequential loss, however arising.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded.

11. Governing law

These terms and any dispute arising out of them are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales.

12. Changes and contact
